The founding communities of the foundation are all the largest businesses operating in Lapland as well as the most significant provincial organisations. The operations of the foundation are tended to by a Board that is elected for three calendar years at a time. Its members widely represent the economic life of Lapland. Ari Konu, the Director of Administration of the University of Lapland, acts as the representative of the foundation.

Constitution of University Foundation of Lapland


The name of the foundation is Lapin yliopistosäätiö sr (the University Foundation of Lapland), in Swedish Stiftelsen för Lapplands universitet sr, and its domicile is Rovaniemi.


The purpose of the foundation is to support  education and research of the University of Lapland, the activities of the student societies of the University of Lapland and the students’ advancement in their studies.


To accomplish its purpose, the foundation may support the University of Lapland financially, award grants to the students and staff for studies or for developing education or research, award financial assistance to student societies of the university, publicly promote education and research conducted at the University of Lapland and in other ways support activities that serve the purpose of the foundation.


The original capital of the foundation is seventeen thousand four hundred ninety-one euros and fifty-four cents (17.491,54).

The foundation owns a contingency fund in addition to the original capital mentioned in the charter of foundation. The foundation may also own special funds for which the Board of the foundation may lay down regulations.

The foundation has the right to receive donations and testaments as well as to accumulate wealth in other ways, however, not by conducting business. The foundation may own both real and personal estate.

The financial management of the foundation must be planned. The financial management includes not only the management of the assets of the foundation, but also the investments of the foundation.


The Board sees to the administration of the foundation and that the operations of the foundation are appropriately conducted to accomplish the purpose of the foundation.

The Board of the foundation has a term of three (3) calendar years.

The Board of the foundation includes six (6) members. The members are elected by the Regional Council of Lapland, the Lapland Chamber of Commerce, the University of Lapland, the Student Union of the University of Lapland, Lapin Korkeakouluseura ry (Lapland University Society) and the Research Society of Lapland, all of which appoint one (1) board member.

If one of the above-mentioned does not appoint their representative to the Board of the foundation, the Board may fill itself autonomously for the whole term or a part of the term. The Board elects the chairperson and vice chairperson from the Board.

The Board may appoint a representative who simultaneously acts as the CEO of the foundation. The CEO ensures the purpose of the foundation is accomplished and takes care of the daily administration of the foundation in accordance with instructions and orders from the Board.

The CEO appoints a secretary for the foundation and organises the daily administration of the foundation. Purchased services can be used to organise the daily administration.


The Board of the foundation assembles by the chairperson’s invitation when needed, or by the vice chairperson’s invitation if the chair is prevented. A board meeting can also be held in the form of an e-mail meeting.

Invitations to board meetings are sent via e-mail to each board member at least two weeks before the meeting. The e-mails are sent to e-mail addresses provided by the members themselves. The meeting invitation must list the issues handled in the meeting.

The Board is quorate if more than half of its members are present. The number is counted based on elected board members.

The motion that has the support of more than half of the present board members becomes the decision of the Board. If the votes are even, the chairperson’s vote settles the matter. In elections, the person with the most votes is elected. If the votes are even in an election, the election is settled by a lot.

Minutes should be kept on the board meetings, and both decisions and votes are recorded in the minutes. The minutes are signed by the chairperson of the meeting and by at least one board member elected by the Board.

A board member may be paid reasonable attendance money for a meeting. Board members’ travel expenses are reimbursed in accordance with the state travel regulations.


Documents of the foundation are signed by the chairperson or vice chairperson of the Board together with the CEO.


The Board selects an audit firm as the auditor of the foundation. The audit firm is selected for an indefinite period. The same principal auditor from the audit firm can act as an auditor for a maximum of seven (7) years.


The accounting period of the foundation is one calendar year. The balance book (income statement, balance sheet and annual report) and the accounting material must be delivered to the auditor by the end of March, and the auditors must deliver their audit report by the end of April.

The foundation must deliver the annual report to the foundation register of the Finnish Patent and Registration Office (PRH) by the end of May.

10§
When the foundation dissolves or shuts down, the remaining funds of the foundation are transferred to the University of Lapland to be used for the purpose mentioned in section 2 of the regulations of the foundation.

11§
Except as otherwise stipulated in these regulations, the operations of the foundation comply with the current legislation in force concerning foundations.
